These Terms and Conditions of Sale (“Terms”) apply to all purchases, bookings, and transactions made with Ayur Medic Pty Ltd trading as Ayur Healthcare (“Ayur Healthcare”, “we”, “us”, “our”) through our website located at https://ayurhealthcare.com.au (“Website”) or otherwise.

These Terms incorporate, and must be read together with, our Terms of Use, Disclaimer, Privacy Policy, and Appointment Cancellation Policy, each available on our Website. In the event of any inconsistency, these Terms prevail to the extent permitted by law.

By placing an order, making a booking, or completing a purchase through our Website, you acknowledge that you have read, understood, and agreed to be bound by these Terms. These Terms may only be waived or varied by written agreement signed by an authorised representative of Ayur Healthcare.


1. Formation of Contract (Ecommerce)

1.1 Any order placed through the Website constitutes an offer by you to purchase goods or services in accordance with these Terms.

1.2 No binding contract is formed until we have accepted your order. Acceptance occurs only when we:

  • issue an order confirmation expressly accepting the order; or

  • dispatch the goods.

Automated emails, receipts, or payment confirmations do not constitute acceptance.

1.3 We reserve the right to refuse or cancel any order prior to acceptance, including where there is a pricing error, stock availability issue, system error, or suspected fraud.

1.4 If an order cannot be fulfilled, we will notify you and, where applicable, provide a full refund for any amount paid.


2. Pricing & Payment

2.1 All prices displayed on the Website are in Australian Dollars (AUD) and inclusive of GST unless stated otherwise.

2.2 Prices may be changed at any time prior to acceptance of your order. Publication of updated prices on the Website constitutes sufficient notice.

2.3 Full payment in cleared funds (including any applicable delivery fees) is required before an order is processed or services are provided.

2.4 If a payment is declined, reversed, charged back, or unpaid for any reason, you are liable for:

  • any bank or payment processing fees incurred by us; and

  • any reasonable costs associated with recovering payment.

2.5 We may suspend delivery, cancel orders, or restrict future purchases where payment issues or chargebacks occur.

2.6 We accept payment via credit/debit card, PayPal, and bank transfer. Third-party payment services are provided for convenience only. We are not responsible for any loss, delay, or error arising from those services.


3. Store Credit

3.1 Store credit may be issued at our sole discretion, unless otherwise required by Australian Consumer Law.

3.2 Store credit:

  • is valid for 12 months from the date of issue;

  • may only be redeemed for services or products sold by Ayur Healthcare as specified at the time of issue;

  • cannot be redeemed for cash, refunded, transferred, assigned, or gifted;

  • cannot be used to pay postage or delivery fees; and

  • expires automatically after the validity period.

3.3 Unused or partially used store credit will not be replaced or extended.


4. Gift Vouchers

4.1 Gift vouchers are issued electronically and must be kept secure by the purchaser or recipient.

4.2 Gift vouchers:

  • are redeemable only in accordance with their stated terms;

  • cannot be exchanged for cash or refunded;

  • cannot be replaced if lost, stolen, or deleted; and

  • may be subject to expiry periods as required under NSW Fair Trading and applicable legislation.

4.3 Gift vouchers cannot be applied to promotions or discounted offers unless expressly stated.


5. Delivery & Postage

5.1 Delivery Area

We deliver within Australia only.

5.2 Postage Fees

Delivery fees are calculated at checkout. If a delivery fee is incorrectly calculated due to a system error, we reserve the right to contact you prior to dispatch to confirm payment of the correct fee or amend the order.

5.3 Delivery Address

You are responsible for ensuring delivery details are accurate. We are not liable for failed or misdirected deliveries due to incorrect information provided by you.

5.4 Risk & Authority to Leave

Risk passes to you upon delivery to the nominated address. If you authorise delivery to be left unattended, delivery is deemed complete once the goods are left at the address, and we accept no responsibility for loss or theft thereafter.

5.5 Lost or Damaged Goods

If goods are lost or damaged in transit, our liability is limited to the compensation recoverable from the delivery provider, less reasonable investigation costs, unless otherwise required by law.


6. Events Beyond Our Control (Force Majeure)

We are not liable for delays or failure to perform caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, supply chain disruptions, system failures, or illness of key personnel.


7. Advice, Information & Health Disclaimer

7.1 Any information provided on our Website or by our staff is general information only and is not intended to replace medical advice, diagnosis, or treatment.

7.2 You acknowledge that Ayur Healthcare does not guarantee outcomes and that individual results may vary.

7.3 You must seek advice from a registered medical practitioner for any medical concerns.


8. Australian Consumer Law (ACL)

8.1 Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)).

8.2 Nothing in these Terms limits your rights under the ACL. Where permitted, our liability is limited to:

  • replacement of goods;

  • repair of goods; or

  • refund or re-supply of services.

8.3 We do not offer refunds for change of mind.


9. Faults, Returns & Refund Process

9.1 If goods are defective, damaged, or not as described, you must notify us within a reasonable time after the issue becomes apparent.

9.2 Remedies will be provided in accordance with ACL requirements.


10. Intellectual Property

All intellectual property on the Website remains the exclusive property of Ayur Healthcare. No rights are transferred to you.


11. Dispute Resolution

11.1 You agree to contact us first to attempt to resolve any dispute.

11.2 If unresolved within 30 days, the matter must proceed to mediation in NSW before any legal proceedings (except urgent relief).


12. Variation

We may amend these Terms at any time by updating the Website. Changes take effect immediately upon publication.


13. Severability

If any provision is unenforceable, the remaining provisions remain in full force.


14. Termination

We may terminate this agreement at any time. Clauses relating to liability, payment, and intellectual property survive termination.


15. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and the courts of NSW have exclusive jurisdiction.


Appointment Cancellation, Rescheduling & No-Show Policy

(Binding Contractual Term)

16. Appointments, Cancellations, Rescheduling & No-Shows

16.1 Incorporation & Priority
This clause forms an essential and binding part of these Terms and Conditions. By making a booking with Ayur Healthcare, you expressly agree to this Appointment Cancellation and Rescheduling Policy. In the event of any inconsistency, this clause prevails to the maximum extent permitted by law.


16.2 General Appointments (Consultations & Therapies)

(a) 24-Hour Notice Requirement
Appointments are reserved exclusively for you. A minimum of 24 hours’ notice is required to cancel or reschedule any consultation or therapy appointment.

(b) Fees for Late Cancellation or Rescheduling

  • Cancellations or rescheduling with less than 24 hours’ notice: 50% of the scheduled service fee

  • No-shows (failure to attend without notice): 100% of the scheduled service fee

(c) Late Arrival
Late arrival that prevents the full service from being delivered will be treated as a late cancellation or no-show, and fees will apply in full. Appointment end times will not be extended.


16.3 Panchakarma Programs & Packages

(a) 48-Hour Notice Requirement
Panchakarma programs involve significant preparation, practitioner allocation, and resource commitment. A minimum of 48 hours’ notice is required for any cancellation, rescheduling, or modification.

(b) Fees for Late Cancellation or Rescheduling

  • Cancellations or rescheduling with less than 48 hours’ notice: 50% of the total scheduled service value

  • No-shows: 100% of the total scheduled service value

This applies to individual sessions, program days, or entire Panchakarma packages, whether paid in full or by instalment.

(c) Program Modifications
Any change to date, time, practitioner, or treatment type is deemed a reschedule and subject to this clause.


16.4 Notice Requirements

(a) Valid Notice
Notice must be received by Ayur Healthcare via:

  • official booking system

  • email to the clinic

  • written confirmation acknowledged by Ayur Healthcare

Social media messages, third-party messages, or voicemail without confirmation do not constitute valid notice.

(b) Time of Receipt
Notice is effective only when received during business hours. Messages received outside business hours are deemed received on the next business day.


16.5 Refunds & Store Credit (Appointments & Programs)

(a) No Cash Refunds
No cash refunds are provided for:

  • late cancellations

  • no-shows

  • change of mind

  • personal circumstances

  • early discontinuation of programs

(b) Store Credit (If Applicable)
Where appropriate and at the sole discretion of Ayur Healthcare, store credit may be issued instead of a refund. Store credit:

  • is valid for 12 months

  • is non-transferable

  • cannot be redeemed for cash

  • cannot be used for product purchases

  • expires automatically after the validity period

Nothing in this clause limits your rights under Australian Consumer Law.


16.6 Medical Emergencies

(a) We acknowledge that genuine medical emergencies may occur.
(b) Supporting documentation from a registered Australian medical practitioner confirming that you were medically unfit to attend must be provided.
(c) Acceptance of documentation and any fee adjustment remains entirely at the discretion of Ayur Healthcare, except where required by law.


16.7 Practitioner Availability

Practitioners at Ayur Healthcare may operate as independent contractors. Appointment fees reflect practitioner availability and reserved time. Cancellations or non-attendance directly impact practitioner income, which is why this policy is applied consistently and without exception.


16.8 Acknowledgement & Acceptance

By booking an appointment, purchasing a package, or commencing treatment with Ayur Healthcare, you acknowledge that you have:

  • read and understood this policy

  • agreed to its terms

  • accepted that fees apply regardless of reason, except where required by law

Failure to enforce this policy on one occasion does not constitute a waiver of our rights.
